Filing Your Pennsylvania LLC
After completing the Certificate of Organization and Docketing Statement, you can submit it to the Pennsylvania Bureau of Corporations in one of the following ways:
- Online: The LLC filing fee is $125, and your LLC will be approved in 7-10 business days.
Understanding Pennsylvania LLCs
A limited liability company (LLC) is a hybrid between a partnership and a corporation. Owners of an LLC are called members. To form your LLC, click “Certificate of Organization – Domestic Limited Liability Company (8821).” Once approved, these two documents officially create your PA LLC.
Obtaining Certified LLC Documents
You can order a certified copy of your LLC certificate, which will be considered an original document because it is certified. This document serves as a valuable asset for business transactions and compliance with state regulations.
Tax Registration and Licenses
All businesses selling products and services subject to sales tax must register for a sales tax license online at www.pabizonline.com or by completing the PA Enterprise Registration Form, PA-100. To obtain a duplicate Sales Tax License or other Revenue license(s), you can use the e-TIDES “Document Center”.
LLC Renewal and Decennial Reports
Pennsylvania LLCs need to file an Annual Report with a $70 fee to renew yearly. Additionally, you must file a decennial report every ten years if no other filings have been submitted during the previous ten years.
LLC Formation in Other States
To get an LLC in another state, file a Certificate of Formation with the Secretary of State. The costs typically include filing fees and yearly renewal fees. Some states, like Delaware, Wyoming, New Mexico, and Nevada, offer privacy protection for LLC owners.
