Notification and Amendment Process
Businesses must notify Idaho’s Secretary of State office when changing registered information like name, address, email, ownership or agent. Update address and email or risk dissolution.
First, file Articles of Amendment with Idaho’s Secretary of State office to change the business name. The amendment must include the new name and a $30 fee. Use the Articles of Amendment form when changing the business name. It takes 10-15 days to process the amendment and issue updated articles.
Contacting Relevant Authorities
Contact the Tax Commission when changing business name or type to attribute tax payments correctly. Contact Labor Department to attribute unemployment account payments and reports correctly if changing business name or type. Amend licenses and permits with city clerks when changing business name; new ones may be required if ownership changes.
Business licenses come from city/county clerks, not the state. File Amendment to Certificate with Idaho’s Secretary of State to change a corporation’s name.
Updating Stakeholders
Besides the IRS and State Tax Commission, contact financial institutions, vendors, and customers about the name change. Update your website, ads, signs, cards, stationery, etc. Review your Operating Agreement for other updates. Have LLC members sign updated copies.
Monitor online reputation during the transition.
Changing LLC Name and Costs
It costs $30 to change an LLC name online in Idaho, or $50 by mail or in person. File online, by mail or in person. First, choose a new Idaho LLC name. Then, file Articles of Amendment. Finally, obtain an amended Certificate of Organization.
