California does recognize S corporations. An S corporation in California must file an annual tax return and pay required taxes by the 15th day of the fourth month after the tax year closes.
Taxation and Status
S corporation status can lead to a reduction in self-employment tax at the federal level. Shareholders avoid double taxation by only paying federal income tax on their individual returns. California taxes S corporations at 1.5% of net income or $800, whichever is greater. The first year, S corporations in California are exempt from the $800 minimum franchise tax.
To maintain S corporation status in California, a corporation must have fewer than 100 shareholders and fulfill regular legal obligations.
S corp vs. LLC in California
Choosing between an S corp and an LLC in California requires an understanding of both. An LLC involves paying an initial filing fee and an annual fee to maintain legal status. An LLC offers liability protection and favorable tax treatment, while an S corporation elects to pass corporate income, losses, deductions, and credits through to shareholders to avoid double taxation. Both structures protect personal assets in bankruptcy, and the choice between them depends on specific business goals and structures.
S Corporations in Other States
Some states do not recognize S Corporation status for state tax purposes, even though they are recognized for federal tax purposes. This means that some states tax both the S Corporation’s profits and the shareholders’ shares. Specifically, DC does not recognize the federal S corporation election, and S corporations there will be treated like C corporations for state income tax purposes.
The Emotional Spectrum is represented by various Lantern Corps, each harnessing different emotions:
- The Red Lantern Corps harnesses rage, with their red power rings granting power but also consuming them.
- The Green Lantern Corps replaced their predecessors who were destroyed due to the "execution" of Sinestro and the consequential destruction of the Central Battery.
- White Lantern rings are influenced by The Entity and can act beyond the spectrum’s usual abilities, such as regrowing a forest and resurrecting animals.
Generally, C-Corporations and S-Corporations are not issued 1099-NEC forms. However, there are exceptions to this rule, including payments made for medical and health care services.
