Filing Annual Reports for NC LLCs
An NC LLC Annual Report is a requirement filed with the Secretary of State (SOS) to update the corporate information listed. Every North Carolina corporation, LLC, and partnership must file an annual report each year. As of 2023, the filing fee is $200.
For LLCs, annual reports are due every year on April 15– excluding the year you started your business. LLCs that have not filed their annual report by the due date will receive a Notice of Grounds from North Carolina’s Secretary of State. They will have 60 days from the notice’s date to file their annual report.
You can file the annual report online on the North Carolina Secretary of State’s website. You need to include the name and address of your business, the names and addresses of your officers and directors, and the registered agent’s name and address in the annual report.
Important Changes and Due Dates
In North Carolina, business entities have different due dates for annual reports according to their entity type. The annual report must be filed each year by April 15 except for new LLCs. Starting in fall 2023, North Carolina will use a new system called "NCSUITS" for its UI tax program.
