Starting in 2025, every Pennsylvania LLC (Limited Liability Company) must file an Annual Report every year. It is a state requirement in order to keep your LLC in good standing. This is required regardless of business activity or income.
New Reporting Law
In 2022, Pennsylvania put in place a new law requiring annual reports for LLCs. The new law will take effect in 2025. Previously, Pennsylvania required LLCs to submit reports every 10 years. The new Annual Report requirement will replace the old Decennial Report.
Report Contents and Filing
The annual report will need to include the following information:
- Your business name
- The state where your LLC was formed
- The address of your LLC’s registered agent
- The name of at least one member of your LLC
- The address of your LLC’s principal office
- Your LLC’s entity number
Typically, the annual report filed by a Pennsylvania LLC will also include:
- Office Address of the LLC
- Names and Addresses of the Members and managers
- Identification Documents
- Social Security numbers of key members
- The objective of the business
- List of signatories
The report is sent to the Pennsylvania Department of State and the Bureau of Corporations and Charitable Organizations for maintaining records.
