Process to Close a Company in New York
- Submit all required tax returns to New York’s Department of Taxation and Finance.
- Pay all due taxes and fees.
- Pay up all business debts.
- Convene a board meeting and document a decision to dissolve the company.
- File a final Form NYS-45 and submit the completed Articles of Dissolution form to the New York Department of State by mail, fax, or in person.
- Obtain tax clearance from the New York Department of Taxation and Finance.
- Close out all other accounts associated with the LLC.
