Renewal Process
To renew an LLC in Massachusetts, follow these steps:
- Check the state’s renewal requirements on the Massachusetts Secretary of State’s website.
- File Annual Reports by March 15th of each year.
- This report can be filed online via the Massachusetts Secretary of State’s website.
- Pay Annual Fees of $500.
- This fee can be paid online.
Withdrawal and Amendments
- To withdraw your corporation or Limited Liability Company, there is a $100 filing fee.
- If you fax file the withdrawal, there is an additional $9 expedite fee.
- If you mail the certificate of withdrawal, it will be processed in 3-5 business days.
- The filing fee for a Certificate of Amendment is $100.
- After the state approves your LLC name change, notify the IRS and financial institutions.

Foreign LLCs and Quick Processing
Foreign LLCs must also:
- File an annual report and pay a fee to the Massachusetts Secretary of State’s office each year.
- Maintain a registered agent with a physical street address in the state.
Obtaining a certificate of good standing for a foreign LLC typically takes 2-3 business days.
Within 24 to 36 hours, Massachusetts will complete the processing and approval of your LLC.
