Management Structure in LLCs
Members of an LLC are anyone with ownership interest. An LLC can be member-managed or manager-managed. Member-managed LLCs allow members to be CEO or president. Manager-managed LLCs appoint non-members as CEO.
The board of directors makes decisions about appointing the CEO or president. The board also oversees management to ensure compliance.
California law allows LLCs to establish officer positions like President, Vice President, Secretary, Treasurer, CEO or CFO if authorized in the operating agreement.
Roles in LLC Management
The managing member functions like a CEO or president, being in charge of operations. So a separate CEO or president is not required.
LLC Ownership and Titles
In many companies the CEO leads and the president is second-in-command, carrying out different duties. Sometimes CEO and president roles are performed by two people. LLC owners are legally "members." Single-member owners can designate themselves CEO or President in the operating agreement.
Members can use titles like CEO and president for LLC management structure to indicate authority. Principal commonly designates service firm owners.
Good practice is to choose LLC leadership titles reflecting the desired image. The members can select a president, CEO or managers instead of corporate officers.
