The LLC Organizer
An LLC organizer handles LLC formation and is responsible for submitting the Articles of Organization. They are not required to be a member of the LLC. Typically, the organizer gathers information such as the name of the LLC and prepares documents for submission either online, by mail, or in person.
Once the Articles of Organization are filed, the organizer’s task is generally complete. This role could be filled by a member or by someone else with LLC formation experience.
Registered Agent and LLC Membership
A registered agent is different from an organizer; they are essential for official communication with the state and federal authorities. Requirements for a registered agent include being 18 or older, having a physical address in the state, and being available at the location during standard business hours.
LLC owners are known as members. Most states don’t limit who can be an LLC member. Members are not personally liable for obligations of the LLC, and an LLC is also allowed to own another LLC.
Selecting an LLC Organizer
While an LLC member can serve as the organizer, it may not align with their primary responsibilities. Therefore, it might be better to hire a professional service to avoid costly mistakes and streamline the business formation process. Should you prefer long-term assistance, choosing an organizer that also offers registered agent services could be beneficial.
