Certificate of Incumbency Dubai
What is a certificate of incumbency?
An incumbency certificate confirms the identity of a company’s shareholders, directors, and officers. It is issued by the Company Registrar to state which individuals can legally conduct business transactions on behalf of the company. A certificate of incumbency legalization allows companies to authenticate their corporate leadership when doing business in the UAE. For a BVI-parented firm expanding into Dubai, the following documents need attestation: incumbency certificate and power of attorney.
To obtain a Dubai business license:
- Approvals are required from the government and economic department.
- Acquire the trade license, also called Certificate of Registration or Incorporation Certificate.
A valid certificate of incumbency comprehensively lists all company representatives that can legally bind the business. Typically requiring signatures from directors, officers, and key shareholders to certify its validity. It establishes the directors, officers, and key stakeholders, specifying their positions and authority to undertake contractual terms for the firm.
The certificate differs from a corporate resolution – relating to a specific corporate action rather than listing authorized company representatives. It also differs from a certificate of good standing – showing a company is compliant with legal obligations rather than listing authorized personnel.
